1. Acceptance of Terms

By accessing or using InvoicePortalX ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Service Description

InvoicePortalX is a branded customer invoice portal service that allows B2B suppliers to provide their customers with secure, 24/7 access to invoices and other accounts receivable documents through a web-based interface.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

3.2 Account Responsibilities

You agree to:

  • Provide and maintain accurate account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations

4. Payment Terms

4.1 Subscription Fees

The Service is offered on a subscription basis with the following pricing plans:

  • Core: $49/month for up to 1,000 invoices/month
  • Pro: $89/month for unlimited invoices with API access
  • Growth: Custom pricing for self-hosted deployments

4.2 Billing Cycle

Subscription fees are billed monthly in advance. You authorize us to charge your payment method for the applicable fees on a recurring basis until you cancel your subscription.

4.3 Payment Terms

All fees are non-refundable except as required by law. We reserve the right to modify our pricing at any time with 30 days' notice to existing subscribers.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Upload or distribute any content that is illegal, harmful, or violates third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service for any purpose other than its intended business purpose

6. Data and Content

6.1 Your Data

You retain ownership of all data you upload to the Service. We do not claim any ownership rights in your data.

6.2 Read-Only Access

The Service provides read-only access to your invoice data. We do not modify, alter, or write back to your accounting or invoicing systems. Your existing systems remain the single source of truth for all financial data.

6.3 Data Security

We implement industry-standard security measures to protect your data, including:

  • Supplier-level data isolation
  • Customer-scoped access controls
  • Audit logging for all administrative actions
  • Encrypted data transmission

7. Limitation of Liability

To the fullest extent permitted by law, InvoicePortalX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. You will remain responsible for all fees incurred prior to termination.

8.2 Termination by Us

We reserve the right to suspend or terminate your account at any time for violation of these Terms, for security reasons, or at our discretion.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InvoicePortalX is established, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.
